In these terms:
A trade account is open to any Buyer able to meet our order minimums — we do not currently require a resale certificate, business license, or EIN to open an account. By placing an order, you confirm that you are at least 18 years old and, if placing an order on behalf of a company, that you are authorized to do so. AMIRYX reserves the right to decline to open an account, or to decline or cancel any order, at its reasonable discretion — including where we suspect fraud, abuse of our pricing, or a breach of these terms.
Minimum order quantities vary by category and product, and are confirmed at the time of quoting — typically starting at case-pack level (usually 6–24 units) with tiered pricing available at pallet quantities. Our overall account minimum is $150 per order. We reserve the right to decline orders below the applicable minimum.
All prices are quoted in US dollars. Quotes are valid for 14 days unless stated otherwise. Prices are exclusive of applicable sales tax unless stated, and exclude delivery unless a delivered price has been confirmed in writing. Payment must be received in full via PayPal, using the secure payment link or invoice sent by your account manager, before an order is confirmed and processed. We do not currently offer credit accounts or net payment terms — full payment is required up front on every order, regardless of account history.
An Order is confirmed only once you have accepted a written quote and full payment has cleared. A quote is not a reservation of stock or production capacity until payment clears. If you need to cancel an Order, contact your account manager as soon as possible — we will use reasonable efforts to cancel and refund an Order before it has been dispatched or passed to a Supplier for fulfillment, but cannot guarantee cancellation once fulfillment has begun. Once an Order has been dispatched, section 7 (Returns, Refunds & Damaged Goods) applies instead.
We serve trade buyers across the United States and internationally. Orders may be fulfilled from stock we hold, or shipped directly by the manufacturer, distributor, or other Supplier — including, in some cases, from outside the United States. Dispatch and delivery timelines vary accordingly and are estimates, not guaranteed delivery windows. Risk in the Products passes to you on delivery. For international deliveries, you are responsible for any import duties, customs fees, or local taxes applicable in the destination country, unless otherwise agreed in writing.
Because Products are sold at wholesale pricing and in bulk quantities, orders are not eligible for return or refund simply due to a change of mind. If an item arrives damaged, short, or incorrect, report it to your account manager within 48 hours of delivery, with photographic evidence where applicable, to qualify for a replacement or refund. Claims made after 48 hours may be declined at our discretion, since we are often unable to recover a claim from the Supplier past that window. Approved refunds are issued to your original PayPal payment method within a reasonable time.
Products are supplied to us by the relevant manufacturer or Supplier, and we pass through any manufacturer warranty that applies. Beyond that, and to the fullest extent permitted by law, we make no additional warranty that Products are fit for any particular purpose. Where Products are subject to US safety, labeling, or electrical compliance requirements, compliance documentation is available to trade account holders on request. If you resell Products, you remain responsible for your own downstream compliance obligations (for example, marketplace listing requirements).
Nothing in these terms excludes or limits liability for death, personal injury caused by negligence, or fraud. Subject to that, our total liability for any Order is limited to the value of that Order, and we are not liable for indirect or consequential loss, including lost profits or business interruption.
All content on this website — including text, graphics, product category imagery, and the AMIRYX Wholesale name and logo — is owned by or licensed to AMIRYX and may not be copied, reproduced, or used without our prior written consent. Trademarks and brand names of Products referenced on this website belong to their respective owners. Nothing in these terms grants you any license to use AMIRYX's name, logo, or trademarks in your own marketing without our written permission.
These terms are governed by the law of the State of Florida, without regard to its conflict-of-law principles, and the state and federal courts located in Florida have exclusive jurisdiction over any dispute arising from these terms or your order.
If a dispute arises, we ask that you first contact your account manager or support@amiryxwholesale.com so we can try to resolve it directly — most issues are resolved this way within a few business days. If a dispute cannot be resolved informally within 30 days of being raised in writing, it will be subject to the exclusive jurisdiction of the Florida courts described in section 10.
You may close your trade account at any time by notifying your account manager. We may suspend or terminate a trade account, or refuse a future order, at our reasonable discretion — including for non-payment, suspected fraud, abusive conduct toward our staff, or a breach of these terms. Termination does not affect obligations under any Order already confirmed before termination, including your obligation to pay for Products already shipped.
